1. Acceptance of Terms

Welcome to OpenVet! These Terms of Service ("Terms") govern your use of the OpenVet website and veterinary assistance platform (the "Service") operated by OpenVet, Inc., a Delaware corporation ("OpenVet," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Professional Use

Who Can Use OpenVet

  • You must be a licensed veterinary professional (veterinarian, veterinary technician, or related professional)
  • You must be at least 18 years old
  • You must provide accurate professional credentials during registration

Professional Use Only

OpenVet is designed exclusively for licensed veterinary professionals. The Service is not intended for pet owners, animal caretakers, or the general public seeking veterinary advice for their animals.

3. Medical and Professional Disclaimer

AI is a Tool, Not a Replacement

OpenVet uses artificial intelligence to assist veterinary professionals. The Service is a clinical support tool and does NOT replace professional judgment, clinical expertise, or direct patient examination.

By using OpenVet, you acknowledge and agree that:

  • Professional Responsibility: You are solely responsible for all clinical decisions, diagnoses, treatments, and patient care
  • AI Limitations: AI-generated responses may contain errors, inaccuracies, or incomplete information
  • Verification Required: You must independently verify all AI-generated information before applying it to patient care
  • No Doctor-Patient Relationship: OpenVet does not create a veterinarian-patient relationship
  • Not a Substitute for Examination: AI responses cannot replace physical examination, diagnostic testing, or clinical judgment
  • Emergency Situations: Do not rely on OpenVet for emergency or time-critical situations
  • Continuing Education: OpenVet supplements, but does not replace, continuing education and professional development

OpenVet is provided "as-is" and makes no warranties regarding the accuracy, completeness, or reliability of AI-generated content.

4. Account Registration and Security

Registration

  • You must provide accurate, current, and complete information during registration
  • You must maintain and update your information to keep it accurate
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account

Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Provide false or misleading information
  • Engage in fraudulent or abusive behavior
  • Are inactive for extended periods (with notice)

5. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Provide false professional credentials or misrepresent your qualifications
  • Share your account credentials with unauthorized individuals
  • Use the Service to harm animals or provide substandard care
  • Attempt to reverse engineer, decompile, or extract the Service's AI models or proprietary technology
  • Scrape, data mine, or automate access to the Service without permission
  • Transmit viruses, malware, or harmful code
  • Harass, abuse, or harm other users or OpenVet personnel
  • Use the Service for purposes other than legitimate veterinary professional support

6. Intellectual Property

OpenVet Ownership

All content, features, and functionality of the Service—including but not limited to text, graphics, logos, software, AI models, and data compilations—are owned by OpenVet, Inc. and are protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of any clinical queries, case information, or content you submit ("Your Content"). By using the Service, you grant OpenVet a non-exclusive, worldwide, royalty-free license to use, store, and process Your Content to:

  • Provide the Service
  • Improve our AI models and features (in anonymized, aggregated form)
  • Comply with legal obligations

You represent that you have the right to submit Your Content and that it does not violate any third-party rights or applicable laws (including patient privacy laws such as HIPAA, where applicable).

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

Important: Ensure compliance with all applicable patient privacy laws (e.g., HIPAA in the US, GDPR in the EU) when submitting patient information. Do not include identifiable patient information unless legally permitted.

8. Early Access and Service Changes

Current Stage

OpenVet is in early access. We are actively developing, testing, and improving the Service. As such:

  • Features may change, be added, or removed without notice
  • The Service may experience downtime, errors, or performance issues
  • We make no guarantees about availability or uptime

Right to Modify

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

9. Fees and Payment

Current Pricing

The core OpenVet Service is currently provided free of charge during early access.

Future Pricing

We reserve the right to introduce fees for the Service or offer premium add-on services in the future. If we introduce fees:

  • We will provide advance notice (at least 30 days)
  • You may choose to discontinue use if you do not agree to the fees
  • Continued use after fee introduction constitutes acceptance

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NO WARRANTIES: THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • LIMITATION OF LIABILITY: IN NO EVENT SHALL OPENVET, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE
  • MAXIMUM LIABILITY: OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (CURRENTLY $0)

Exceptions

Some jurisdictions do not allow limitations on implied warranties or exclusions of liability, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless OpenVet, Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Clinical decisions or patient care based on AI-generated responses
  • Breach of professional responsibilities or standards of care

12. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions or class arbitrations.

Exceptions

You may bring claims in small claims court if they qualify, and either party may seek injunctive relief in court for intellectual property violations or unauthorized use.

13. Termination

We may terminate or suspend your access to the Service immediately, without notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Provision of false information
  • Any other reason at our sole discretion

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and data (subject to our Privacy Policy and legal obligations)
  • Provisions that should survive termination (e.g., intellectual property, limitation of liability) will remain in effect

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Effective Date." For material changes, we will notify you via email or prominent notice on the Service.

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpenVet regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign these Terms without restriction.
